Certificate of Incorporation

In Bangladesh, acquiring a Certificate of Incorporation from the Registrar of Joint Stock Companies and Firms (RJSC) is a pivotal step in establishing a limited company. This certificate serves as the official identity of the business and holds significant importance in both private and government dealings.

The process begins with selecting a unique and meaningful name for the company, which is then registered with the RJSC. The name registration is valid for 30 days, during which the company must complete the incorporation process. To register, the company must submit the necessary documentation and pay the required fee.

The next step involves drafting the Memorandum and Articles of Association (MoA & AoA), which outline the company’s objectives, rules, and regulations. This document is prepared by an expert or lawyer to ensure accuracy and compliance with legal requirements.

Once the MoA & AoA are finalized, the company’s directors must fill out and sign various forms provided by the lawyer. These forms, along with the MoA & AoA and other required documents, are then submitted to the RJSC.

Upon submission, the RJSC reviews the documents to ensure all information is correct and complete. If everything is in order, the application is forwarded to the assistant registrar for final approval.

Upon approval, the company receives an email notification from the RJSC, confirming the successful incorporation. The company can then print the following documents provided by the RJSC:

  1. Certificate of Incorporation
  2. Form XII
  3. Memorandum and Articles of Association (MoA & AoA)

These documents serve as proof of the company’s legal existence and are used for various business transactions, both within the private sector and with government entities.

The Certificate of Incorporation contains essential information such as the company’s name, date of incorporation (its “birth day”), and a unique incorporation number. This information is crucial for distinguishing the company from others and is used in official correspondence and documentation.

In summary, obtaining a Certificate of Incorporation from the RJSC is a critical step in establishing a limited company in Bangladesh. It not only provides legal recognition to the company but also facilitates its engagement in business activities and transactions, both domestically and internationally.

Due to the complicacies involved, it is advised to take assistance from professional firms such as Tax Packs to get such certificates.
